Follow these two penny stocks: SPQ & KWG?
I've been following it a bit as the news story broke out two weeks ago... 
Cliff resources wants to take over 2 companies,because they have one of the biggest mines in North American for chromite...which is used in stainless steel...
spq and kwg said,,,, no way... we are merging...
So, if you are a gambler, you buy them, hoping that cliff resources comes back with more money...
What do you think? Or
better off to gamble $5.00 on the Lotto Max this Friday? hehe...

Blink, thanks for your support, not sure if you are watching this choppy market in Wall St lately, don't know if you like it this way...hehe, I love it so much... Don't be scare when it shakes and sinks, that means ur chance is approaching, and don't be afraid to buy when it's sky rocketing, you will buy high and sell higher...hahaha

Cliffs Natural Resources Submits Superior Proposal for Spider Resources and Advises KWG Resources to Stop Valuation

Cliffs Natural Resources Inc. (US:CLF)(FR:CLF) today announced that it has proposed to increase its cash take-over bid for Toronto-based Spider Resources Inc. ("Spider") (SPQ) to Cdn.$0.165 per common share from Cdn.$0.13, subject to reaching a support agreement (the "Support Agreement") with Spider. Cliffs' proposal is subject to Spider terminating all agreements with Montreal-based KWG Resources Inc. ("KWG") (KWG) concerning the previously announced proposed merger of Spider and KWG.

Spider's Board of Directors, in a news release issued earlier today, stated that Cliffs' proposal is a Superior Proposal, as defined in Spider's merger agreement with KWG. Under the merger agreement, KWG has a five business day right, expiring on June 21, 2010, to match Cliffs' Superior Proposal.

"We have said all along that our objective is to obtain control of the Big Daddy chromite deposit in the McFaulds Lake area of Northern Ontario," said William C. Boor, president of Cliffs' Ferroalloys business unit. "We believe we can achieve that objective with our proposal to increase our offer for Spider."

Cliffs said its Superior Proposal represents a 27% increase over Cliffs' original offer and a 106% premium over the closing price of the common shares of Spider on the TSX Venture Exchange on May 21, 2010, the last trading day prior to Cliffs' announcement of its intention to bid for the common shares of Spider. The Superior Proposal implies a total equity value for Spider on a fully-diluted basis of Cdn.$109 million.

The proposed Support Agreement between Cliffs and Spider provides for a number of conditions to be met or waived by Cliffs in order for Cliffs to be obliged to take up and pay for common shares of Spider tendered under the Superior Proposal. Such conditions include, but are not limited to:

--at least 50.1% of Spider's common shares (including those held by Cliffs directly or indirectly and on a fully-diluted basis) shall have been validly deposited and not have been withdrawn at the expiry time of the bid;

--obtaining applicable governmental, regulatory and stock exchange approvals, exemptions and consents for the Superior Proposal;

--no material litigation or material adverse effect on the business of Spider;

--Cliffs being satisfied with its treatment under Spider's shareholder rights plan;

--the continuation of the Support Agreement in full force and effect;

--none of the lock up agreements required by Cliffs to be entered into by directors and officers of Spider requiring them to tender to the Superior Offer shall have been terminated; and

--all options and warrants to acquire common shares of Spider outstanding at the expiry time of the Superior Offer shall have been cancelled or otherwise dealt with on terms satisfactory to Cliffs acting in its reasonable judgment.

Cliffs' Superior Proposal is subject to completion of limited confirmatory due diligence.

Once the Support Agreement is signed, Cliffs will vary the terms of its original offer to purchase Spider common shares that expires on July 6, 2010 to increase the offer price to Cdn.$0.165 per common share. The original offer to purchase and accompanying take-over bid circular dated May 31, 2010 is available at www.sedar.com.

Cliffs also announced that it has advised KWG to stop work on a valuation of KWG because the valuation is no longer necessary. Cliffs, which owns approximately 19.3% of KWG on a fully-diluted basis, originally requested the valuation on May 24, 2010.

At that time, Cliffs had indicated its intention to bid for KWG common shares, and the valuation was required because Cliffs was an insider of KWG. On June 7, 2010, Cliffs announced that it was reviewing its options for KWG and may not make an offer in light of KWG's proposal to merge with Spider.

To my guess, the board of directors will refuse Cliffs' offer...Playing hardball. Because they made a deal with KWG to merger together... Down the road, Cliff resources will have to go for a hostile takeover... that usually means 80-90 percent offer above the original bid...
However, I don't like this stock, because there are so many shares outstanding... It's very high risk... if the deal collapses,,, then the shares will crash too...

BEIJING/WASHINGTON(Reuters) - China said on Saturday it would gradually make the yuanmore flexible, in a gesture that may deflect foreign criticism at nextweek's G20 summit but will not quickly yield a big move by its currency.

China

PresidentBarack Obama, who prodded China over the yuan in a letter released onFriday, welcomed the news in an indication the danger of amarket-roiling confrontation at the Group of 20 meeting in Canada hadeased.

"China's decision toincrease the flexibility of its exchange rate is a constructive stepthat can help safeguard the recovery and contribute to a more balancedglobal economy," Obama said in a statement.

OtherWestern leaders and the International Monetary Fund also voicedencouragement that an important strategic ally was making a concessionwhich improves the chances of success at the June 26-27 summit.

Butthe announcement by China's central bank, which strongly suggested itwas ready to break the currency's 23-month-old dollar peg, wasconditioned by an explicit warning ruling out a one-off revaluation ormajor yuan appreciation.

"The basis for large-scale appreciation of the RMB exchange rate does not exist," the People's Bank of China said.

The yuan is also known as the renminbi, or RMB.

Analystswere broadly positive about the news but cautioned that China, thelargest holder of U.S. sovereign debt, may reduce its demand for thosesecurities in the future. China buys U.S. bonds to manage the yuan'speg to the dollar, and greater currency flexibility may dilute thatnecessity.

The peg, which Beijingdefended as a source of stability during the recent global financialcrisis, has come under intense criticism from abroad as China's exportjuggernaut roared back to life.

Muchof the rest of the global economy remains sluggish and beset byunemployment in the wake of the financial crisis, and China's policy isseen as stealing jobs from foreign markets.

Inparticular, by keeping the yuan artificially cheap against the dollar,China makes its imports more attractive for U.S. consumers while makingU.S. exports to China more costly.

Thathas contributed to a massive surplus in China's trade account with theUnited States, sparking protests that the policy is at the directexpense of American jobs.

TRADE WAR

U.S.patience with Beijing over the yuan has worn thin and lawmakersthreaten to penalize it for a strategy they say is unfair and breaksthe rules.

Democratic SenatorCharles Schumer, a leading critic, said China's statement was too vagueand pledged to press ahead with legal action to raise trade barriers.

TreasurySecretary Timothy Geithner, who has delayed publication of apotentially embarrassing report that could cite China as a currencymanipulator, also stressed that China's actions would speak louder thanwords.

"This is an important step but the test is how far and how fast they let the currency appreciate," he said.

The currency report, due on April 15, was put on the back-burner until after the G20 to give China time to act.

Obama needs China's help on a range of other delicate issues, including sanctions against Iran and North Korea for their nuclear programs.

Buthe must balance quiet diplomacy against an urgent domestic politicalneed to be seen fighting China for U.S. jobs before congressionalelections in November.

U.S.businesses must also tread softly with China. Caterpillar Inc, whichsells billions of dollars of earthmoving equipment and other productsto China each year, said it was heartened by the decision.

BUBBLE TROUBLE

G20 leaders have promised to tackle so-called global macro imbalances, posed by massive trade surpluses and deficits.

Those are blamed for fostering a bubble in the U.S. housing marketin 2008, and contributing to the recent European sovereign debt crisis.Economists say such imbalances are not sustainable in the long term,and warn they may trigger another damaging global financial crisis ifinvestors take fright.

Beijing'srecent insistence that the summit was the wrong place to talk aboutyuan flexibility could have overshadowed the meeting and damaged trust.China reduced that risk with Saturday's announcement.

"Thisis an important move as it signals recognition by Chinese officialsthat a more flexible exchange rate is in China's own interest and alsoacknowledges its responsibility to the international community," saidEswar Prasad, a former head of the International Monetary Fund's Chinadivision.

China has long said itwould not bow to international pressure over its currency, and thecentral bank went out of its way to dampen expectations for any bigyuan rise.

"We believe this is apositive gesture, suggesting the yuan will soon resume its appreciationagainst the dollar," said Goldman Sachs economists Yu Song and HelenQiao.

The news could also easefears of a trade dispute between the United States and China at adelicate time for the world economy and may propel world stocks marketshigher on Monday.

It was clearthat China intended its announcement -- published in English at aroundthe same time as Chinese, a departure from usual practice -- to markthe end of the yuan's de facto peg to the dollar. That had beendefended as a special protection policy during the global financialcrisis.

"The global economy isgradually recovering. The recovery and upturn of the Chinese economyhas become more solid with enhanced economic stability," the Chinesecentral bank said in a statement on its website.

"Itis desirable to proceed further with reform of RMB exchange rate regimeand increase the RMB exchange rate flexibility," it said.

Chinahas held the yuan at roughly 6.83 to the dollar since July 2008 in anattempt to insulate the fastest-growing major economy from the turmoilsparked by the U.S. credit crunch.

To appl, I don't know... It keeps going up... don't think I would chase it at this level, too expense.  For short term wise, I prefer Baidu (BIDU. (not sure if you noticed the comment I posted in hw79's 八样東西要放下...regarding the APPLE.

Although I don't like SPQ /KWG, Cliffs might have found something big there, or else...

Keep your opponent slowed cheap wow power leveling down or Frost Nova'd and let your Water Elemental do a lot of the damage while you buy wow power leveling work towards keeping your opponent CC'ed the whole time. It does take some practice but can be very hard to beat with an experienced cheap wow gold player with tons of mage pvp practice behind the wheel.
